This Service Agreement ("Agreement") is entered into between Alignre Collective LLC DBA CloseWell Transactions ("Company") and the undersigned Client ("Client").

1. SERVICES

CloseWell Transactions provides administrative transaction coordination and listing coordination services for real estate professionals. Services may include, but are not limited to:

Transaction Coordination
- File setup and organization
- Contract review for completeness
- Deadline and contingency tracking
- Communication coordination
- Document collection and management
- Compliance file organization
- Inspection and appraisal coordination
- Earnest money tracking
- Closing coordination
- Ongoing transaction updates
- Final file delivery

Listing Coordination
- Listing paperwork preparation
- Document collection and organization
- Photography scheduling
- Vendor coordination
- Listing timeline management
- Administrative listing support
- Compliance documentation organization
- Listing launch coordination

2. FEES 

Current service fees are:
- Transaction Coordination: $400 per transaction
- Listing Coordination: $199 per listing
- CloseWell Complete Package: $549

Fees are subject to change upon notice for future transactions.

3. PAYMENT TERMS

Payment is due within five (5) calendar days of a successful closing.
Invoices may be delivered electronically.
Client agrees to pay all invoiced amounts according to these terms.

4. NON-CLOSING TRANSACTIONS

If a transaction does not successfully close, no transaction coordination fee shall be due unless otherwise agreed to in writing.

5. CLIENT RESPONSIBILITIES

Client agrees to:
- Provide accurate and timely information
- Submit required documents promptly
- Maintain responsibility for all real estate decisions, negotiations, and legal compliance
- Review all documents before execution

6. INDEPENDENT CONTRACTOR
CloseWell Transactions acts solely as an independent contractor and administrative service provider.
Nothing in this Agreement creates an employment relationship, partnership, joint venture, brokerage relationship, or agency relationship.

7. NO LEGAL OR REAL ESTATE ADVICE
CloseWell Transactions does not provide legal, tax, financial, brokerage, or real estate advice.
Clients should consult appropriate licensed professionals regarding such matters.

8. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Alignre Collective LLC DBA CloseWell Transactions shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from services provided.
Total liability shall not exceed the amount paid by Client for the specific transaction giving rise to the claim.

9. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of client information, transaction information, and proprietary business information.

10. ELECTRONIC SIGNATURES

The parties agree that electronic signatures, electronic records, and electronic acceptance shall be legally binding and enforceable.

11. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Florida.

12. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, understandings, or agreements.
